The Baldwin Group (NASDAQ: BWIN) is an insurance distribution and brokerage firm that provides risk management, insurance advisory, employee benefits, and related services. The company recently announced a definitive agreement for a go-private transaction involving an entity formed by Sequence Holdings and DFO Management.

Under the terms of the deal, Baldwin shareholders will receive $32.50 in cash for each share of common stock they hold. The offer represents an approximately 88% premium to the unaffected closing price on June 17, 2026, before media reports suggested the company was exploring a take-private transaction.

The transaction implies a total enterprise value of approximately $7.7 billion. This includes an equity purchase price of about $4.6 billion and approximately $3.1 billion of net debt assumed or refinanced as part of the deal. Once the transaction is completed, Baldwin's shares will no longer be listed on Nasdaq.

The deal is expected to close in the first quarter of 2027, subject to shareholder approval, regulatory approvals, and other customary closing conditions. Eligible Baldwin employees who hold equity will have the opportunity to retain a minority stake in the private company.

Following the announcement, William Blair analyst Adam Klauber downgraded Baldwin Insurance from Outperform to Market Perform on September 14, 2026. The downgrade came as Baldwin's stock moved close to the $32.50 acquisition price, limiting potential upside unless a higher offer emerges.

Several law firms, including Ademi LLP and Halper Sadeh LLC, also announced investigations related to the proposed transaction. These investigations focus on whether the $32.50 per-share price provides fair value to public shareholders and whether the board properly protected shareholder interests during the process.
